These Terms of Service ("Terms") govern your access to and use of Social Pilot, including the website at socialpilot.ai, the Social Pilot web application, and any related services (collectively, the "Service") provided by Chesapeake Information Systems LLC ("Chesapeake," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that:
- You are 18 years of age or older;
- You have the authority to bind any business or legal entity on whose behalf you are using the Service;
- Your use of the Service complies with all applicable laws and regulations.
2. Your Account
To use most features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information;
- Keep your account credentials secure;
- Accept responsibility for all activity that occurs under your account;
- Notify us immediately at info@chesapeake.biz of any unauthorized access.
3. Subscriptions and Payments
Social Pilot is offered on a subscription basis. Subscription tiers, pricing, and features are described in the Service. You may also be offered a free trial.
- Billing: subscriptions are billed in advance on a recurring basis (typically monthly or annually) until cancelled.
- Payment processor: payments are processed by Stripe. By providing payment information, you authorize us and our payment processor to charge the applicable fees.
- Cancellation: you can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds: fees are non-refundable except as required by law or as expressly stated in writing by Chesapeake.
- Price changes: we may change pricing with at least 30 days' notice before your next renewal.
- Taxes: fees do not include applicable taxes; you are responsible for any taxes owed on your subscription.
4. Connected Social Media Accounts
Social Pilot connects to third-party platforms including Instagram, Facebook, TikTok, Google Business Profile, Yelp, and others (collectively, "Connected Platforms"). When you connect a platform:
- You authorize Social Pilot to act on your behalf within the scope of the permissions you grant;
- You confirm you have the right to grant such authorization (e.g., you own the business page);
- Your use of each Connected Platform is also governed by that platform's own terms of service;
- We are not responsible for changes or limitations imposed by Connected Platforms, including changes to their APIs, features, or policies.
5. AI-Generated Content
Social Pilot uses artificial intelligence to draft social media posts, replies to reviews, captions, and other content ("AI Content"). You understand and agree that:
- AI Content is generated based on prompts informed by your business profile and connected-account data, but may contain errors, inaccuracies, or content unsuitable for your specific use.
- You are responsible for reviewing all AI Content before publication. We strongly recommend keeping the approval-required setting enabled.
- You retain ownership of the final content you publish through the Service. You grant Chesapeake a limited license to process and transmit that content as necessary to provide the Service.
- We do not guarantee that AI Content is free of errors, is original, or does not inadvertently resemble third-party content. You are responsible for ensuring published content does not infringe rights or violate platform policies.
- AI Content is not legal, financial, medical, or professional advice.
6. Acceptable Use
You agree not to use the Service to:
- Publish content that is illegal, fraudulent, harassing, threatening, defamatory, obscene, hateful, or harmful;
- Infringe any third party's intellectual property or privacy rights;
- Impersonate any person or business, or misrepresent your affiliation with any person or business;
- Spam, phish, distribute malware, or engage in any activity intended to harm users of Connected Platforms;
- Violate the terms of service or community guidelines of any Connected Platform;
- Reverse engineer, decompile, or attempt to extract source code from the Service;
- Use the Service to develop a competing product, or train AI models using outputs of our Service;
- Attempt to access another user's account or any non-public area of the Service;
- Interfere with or disrupt the Service or its underlying systems.
We may suspend or terminate your account, without refund, for violations of this section.
7. Your Content
"Your Content" means anything you upload, post, store, or transmit through the Service, including photos, logos, business information, team bios, and content you publish to Connected Platforms.
- You retain all ownership rights in Your Content.
- You grant Chesapeake a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and display Your Content solely as necessary to provide the Service to you.
- You represent and warrant that you own or have the rights to Your Content and that publishing it does not violate any third party's rights.
8. Intellectual Property
The Service — including the software, design, logos, copy, and the Social Pilot brand — is owned by Chesapeake and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
9. Privacy
Your privacy is important. Our Privacy Policy describes how we collect, use, and share information. By using the Service, you also agree to the Privacy Policy.
10. Service Availability and Changes
- We strive to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, third-party outages (including Connected Platforms), or other factors outside our control.
- We may modify, suspend, or discontinue any feature at any time. We will provide reasonable notice of material changes.
- We may update these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect (where feasible).
11. Termination
You may terminate your account at any time. We may suspend or terminate your account for violations of these Terms or for failure to pay. Upon termination:
- Your right to use the Service ceases immediately;
- We will delete your data in accordance with the retention schedule described in our Privacy Policy;
- Sections of these Terms that by their nature should survive termination (Sections 5, 7, 8, 12, 13, 14, 15, 16, 17) will survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Chesapeake disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free.
We do not guarantee any specific marketing, engagement, or business outcomes from using the Service. Social media performance depends on many factors outside our control, including platform algorithms, audience behavior, and the quality of content you approve and publish.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHESAPEAKE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, even if advised of the possibility of such damages.
Our total cumulative liability arising from or related to the Service will not exceed the greater of (a) the fees you paid to us in the twelve months immediately preceding the claim, or (b) one hundred US dollars ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless Chesapeake, its affiliates, and its employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable laws.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Baltimore, Maryland, and you consent to personal jurisdiction in those courts.
We will first attempt to resolve disputes informally. Before filing a formal claim, you agree to contact us at info@chesapeake.biz with a description of your concern.
16. Third-Party Services
The Service integrates with third-party services and platforms, including Anthropic (AI), Stripe (payments), Supabase (database hosting), Vercel (application hosting), Meta (Facebook and Instagram), TikTok, Google, and Yelp. We are not responsible for the actions, policies, or content of those third parties. Your use of those services is subject to their own terms.
17. Miscellaneous
- Entire agreement: these Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Chesapeake regarding the Service.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver: our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: we are not liable for failures caused by events outside our reasonable control.
